1. Acceptance of Terms
By creating an account, accessing, subscribing to, or using Nexus Desk, you agree to be bound by these Terms of Service (“Terms”).
If you do not agree to these Terms, you may not access or use Nexus Desk.
These Terms constitute a legally binding agreement between you and Nexus Desk.
2. About Nexus Desk
Nexus Desk is a business administration, document management, compliance tracking, project management, employee administration, organisational management, and record-keeping platform.
The platform is designed to assist businesses in organising information, maintaining records, monitoring deadlines, improving administrative visibility, generating documentation, tracking operational activities, and supporting internal business administration.
Unless expressly agreed otherwise in writing, Nexus Desk provides administrative software, organisational tools, record-keeping functionality, workflow management tools, and related support services only.
Nexus Desk is a user-driven platform. Users remain responsible for the information entered, uploaded, maintained, reviewed, monitored, and approved within the platform.
3. What Nexus Desk Is Not
- Unless expressly agreed otherwise in writing, Nexus Desk is not:
- An accounting firm
- A tax practitioner
- A payroll bureau
- An auditing service
- A legal practice
- A law firm
- A compliance certification authority
- A financial advisory service
- An engineering consultancy
- A labour law advisory service
- A regulatory authority
- A recruitment agency
- A human resources consultancy
- A procurement authority
- A verification agency
- A certification body
- Any other regulated professional service
- The availability of templates, calculators, reports, reminders, payroll tools, compliance indicators, document generation tools, checklists, workflows, dashboards, notifications, tender listings, administrative support services, or similar functionality does not constitute professional advice, certification, auditing, verification, legal review, tax advice, accounting advice, compliance approval, or regulatory endorsement.
- Users should obtain independent professional advice where required.
4. User Responsibilities
- Users remain solely responsible for:
- The accuracy of all information entered into the platform
- The accuracy of uploaded records and documents
- Payroll information and payroll calculations
- Employee information
- Tax information and submissions
- Financial information
- Compliance information
- Regulatory filings
- Project information
- Contract information
- Tender submissions
- Company records
- Internal policies and procedures
- Verification of all generated reports
- Verification of all generated documents
- Verification of all generated calculations
- Verification of all compliance indicators
- Verification of all reminders and deadlines
- Users acknowledge that all business decisions, compliance decisions, employment decisions, financial decisions, legal decisions, tax decisions, procurement decisions, and operational decisions remain their responsibility.
- Users must independently review all information before relying on it.
5. Accuracy, Verification and Monitoring
- Users acknowledge that Nexus Desk relies substantially on information supplied by users, employees, contractors, service providers, regulators, public records, and third parties.
- Nexus Desk does not verify, audit, validate, certify, endorse, approve, investigate, guarantee, or continuously monitor:
- Information uploaded to the platform
- Information entered into the platform
- User records
- Employee information
- Financial information
- Tax information
- Compliance information
- Tender information
- Third-party information
- Generated reports
- Generated documents
- Generated calculations
- Deadlines
- Compliance indicators
- Reminders
- Regulatory status
- The presence of information within Nexus Desk does not constitute confirmation that such information is:
- Accurate
- Complete
- Current
- Lawful
- Valid
- Compliant
- Suitable for any purpose
- Even where information was correctly captured at a particular point in time, Nexus Desk does not undertake to monitor, update, maintain, validate, or verify its ongoing accuracy, completeness, legality, compliance status, or relevance.
- Users remain solely responsible for reviewing, verifying, updating, maintaining, monitoring, and approving all information and outputs within the platform.
6. Account Registration
Users must provide accurate, complete, and current registration information.
Users are responsible for:
- Maintaining the confidentiality of login credentials
- Restricting access to their account
- Managing authorised users
- Managing workspace permissions
- All activities occurring under their account
Users must immediately notify Nexus Desk if they become aware of suspected unauthorised access or security breaches.
7. Team Members and Permissions
- Users may invite authorised individuals to access their workspaces.
- Workspace owners are solely responsible for:
- Determining who may access workspace information
- Assigning permissions
- Removing access where appropriate
- Managing user roles
- Nexus Desk is not responsible for information shared with individuals authorised by the account owner.
- Actions performed by authorised users shall be deemed authorised by the workspace owner unless proven otherwise.
8. User Data and Ownership
Users retain ownership of all documents, records, files, content, and information uploaded to Nexus Desk.
Nexus Desk does not claim ownership of user content.
Users grant Nexus Desk a limited, non-exclusive right to store, process, display, transmit, back up, index, analyse, and manage user content solely for the purpose of operating, maintaining, improving, securing, and providing platform functionality.
Users warrant that they possess all necessary rights, permissions, and authority required to upload and store such information.
9. Intellectual Property
Except for user content, all rights, title, and interest in and to Nexus Desk remain the exclusive property of Nexus Desk or its licensors.
This includes:
- Software
- Source code
- Databases
- Workflows
- Templates
- Branding
- Logos
- Documentation
- User interfaces
- Platform designs
- Reports
- Generated layouts
- Proprietary methodologies
Nothing in these Terms transfers ownership of Nexus Desk intellectual property to users.
10. Nexus Intern Assistance
- Nexus Desk may provide optional administrative assistance through Nexus Intern personnel or authorised administrative support staff.
- Administrative assistance may include:
- Data capturing
- Data entry
- Record organisation
- Administrative updates
- Filing assistance
- Notifications
- Reminder management
- General administrative support
- Such assistance is administrative in nature only.
- Nexus Intern personnel do not provide:
- Legal advice
- Accounting advice
- Tax advice
- Financial advice
- Regulatory advice
- Compliance certification
- Professional review services
- Auditing services
- Verification services
- Nexus Desk does not guarantee the accuracy of information captured by Nexus Intern personnel.
- Users remain solely responsible for reviewing, approving, correcting, maintaining, monitoring, and verifying all information captured, organised, or updated on their behalf.
- Any administrative action performed by Nexus Intern personnel does not constitute verification, approval, certification, endorsement, auditing, compliance review, or professional oversight.
11. Tender Board
- Nexus Desk may provide a Tender Board through which users and third parties may publish tenders, requests for quotations, procurement opportunities, notices, advertisements, and related information.
- Nexus Desk acts solely as an information-sharing platform.
- Nexus Desk does not:
- Verify tender accuracy
- Verify supplier identity
- Verify contractor identity
- Verify licensing
- Verify qualifications
- Verify financial standing
- Verify authority
- Verify legitimacy
- Guarantee awards
- Guarantee payment
- Endorse suppliers
- Endorse contractors
- Participate in contracts
- Users are solely responsible for conducting their own due diligence.
- All dealings between users and third parties occur entirely at their own risk.
12. Subscriptions and Billing
- Certain features, services, storage allowances, support options, administrative assistance services, and platform functionality may require paid subscriptions or once-off purchases.
- Pricing, billing periods, package features, usage limits, and service offerings are displayed within the platform and may be updated from time to time.
- Unless otherwise stated:
- Fees are payable in advance
- Subscription plans renew automatically
- Users may cancel future renewals
- Cancellation prevents future billing only
- Current billing periods remain active until expiry
- Access to paid features may be suspended for non-payment
- Refunds
- Due to the nature of digital services, subscription fees, package fees, onboarding fees, setup fees, support fees, administrative assistance fees, and service charges are non-refundable once access has been granted or services have commenced.
- No refunds, credits, or partial refunds will be provided for:
- Unused subscriptions
- User inactivity
- Failure to use the platform
- User error
- Change of business circumstances
- Change of mind
- Partial billing periods
- Failure to cancel before renewal
- Nexus Desk may investigate duplicate charges, billing errors, technical billing issues, or unauthorised payments and may issue corrections, credits, or refunds where appropriate.
- Nothing in this section limits rights afforded by applicable South African law.
13. Availability of Service
- Nexus Desk aims to provide reliable service but does not guarantee uninterrupted availability.
- The platform may experience:
- Maintenance
- Upgrades
- Service interruptions
- Delays
- Software defects
- Security incidents
- Third-party outages
- Features may be modified, suspended, added, removed, replaced, or discontinued at any time.
14. No Warranties
Nexus Desk is provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, Nexus Desk makes no warranties, representations, or guarantees regarding:
- Accuracy of information
- Accuracy of reports
- Accuracy of calculations
- Compliance outcomes
- Tax outcomes
- Payroll outcomes
- Tender outcomes
- Business outcomes
- Availability of opportunities
- Suitability for any purpose
- Error-free operation
- Continuous availability
- Freedom from defects
All platform outputs require independent review and verification by users.
15. Acceptable Use
- Users may not:
- Use the platform unlawfully
- Upload malicious code
- Circumvent security measures
- Access systems without authorisation
- Interfere with platform operations
- Upload infringing content
- Misrepresent authority or identity
- Use the platform fraudulently
- Nexus Desk may suspend or terminate accounts involved in unlawful activity, abuse, fraud, security threats, or misuse.
16. Activity Logging
Nexus Desk may maintain activity logs for security, auditing, troubleshooting, accountability, compliance, support, and operational purposes.
Users acknowledge that activity logs may be relied upon during:
- Security investigations
- Support investigations
- Internal audits
- Dispute resolution
- Misuse investigations
- Account reviews
17. Limitation of Liability
- To the maximum extent permitted by law, Nexus Desk shall not be liable for:
- Loss of profits
- Loss of revenue
- Loss of contracts
- Loss of opportunities
- Loss of goodwill
- Loss of business
- Loss of productivity
- Loss of data
- Regulatory penalties
- Tax penalties
- Labour disputes
- Compliance failures
- Incorrect submissions
- Missed deadlines
- Tender losses
- Business interruptions
- Indirect losses
- Consequential losses
- Special damages
- Nexus Desk provides administrative software and organisational tools only.
- Users acknowledge that all information, calculations, reports, reminders, compliance indicators, generated documents, and platform outputs require independent verification.
- All business decisions and compliance obligations remain the responsibility of the user.
18. Data Retention
Following account termination, cancellation, expiry, suspension, or closure, Nexus Desk may retain, archive, anonymise, or delete user information in accordance with operational requirements, backup procedures, legal obligations, retention policies, and applicable law.
Users are responsible for exporting or retaining copies of information they wish to preserve.
19. Privacy and POPIA
The collection, processing, storage, transmission, and protection of personal information are governed by the Nexus Desk Privacy Policy and POPIA Compliance Notice, which form part of these Terms.
20. Force Majeure
- Nexus Desk shall not be liable for delays, interruptions, failures, or inability to perform caused by events beyond its reasonable control, including:
- Internet failures
- Telecommunications failures
- Power outages
- Load shedding
- Cyberattacks
- Natural disasters
- Epidemics
- Pandemics
- Government actions
- Civil unrest
- Labour disruptions
- Third-party service failures
- Cloud infrastructure failures
21. Termination
- Users may stop using Nexus Desk at any time.
- Nexus Desk may suspend, restrict, or terminate access where:
- These Terms are breached
- Payment obligations remain outstanding
- Security risks are identified
- Unlawful conduct is suspected
- Platform integrity is threatened
22. Changes to These Terms
Nexus Desk may update these Terms from time to time.
Updated Terms become effective upon publication unless otherwise stated.
Continued use of Nexus Desk constitutes acceptance of revised Terms.
23. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.
24. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.
25. Entire Agreement
These Terms, together with any applicable policies, notices, subscription agreements, service-specific terms, Privacy Policy, and POPIA Compliance Notice, constitute the entire agreement between Nexus Desk and the user regarding use of the platform.
